I. Motivation
To advance the decentralized governance of HTX DAO and establish an efficient, transparent, and active governance framework, we propose the establishment of a clearly defined governance committee member policy. This policy will guide the future development of governance modules and the implementation of committee responsibilities. It will provide a foundational governance framework for HTX DAO’s governance modules, enhancing community participation and decision-making efficiency.
II. Specification
1. Committee Member Roles and Responsibilities
Committee members serve as stewards for specific governance modules and are responsible for:
1)Drafting, reviewing, and publishing DAO governance proposals;
2)Coordinating resources and execution processes for proposal implementation;
3)Encouraging community engagement in discussions and feedback loops;
4)Continuously evaluating and recommending governance policy improvements;
5)Monitoring the health and performance of their assigned modules;
6)Publishing periodic reports summarizing committee activities.
Note: Committee members do not receive additional voting power. All proposals must adhere to the DAO’s democratic voting process.
2. Modular Governance and Committee Member Assignments
HTX DAO will adopt a modular governance approach, with each module overseen by 1–2 dedicated committee members.
Initial governance modules have already been established. Further modules will be added as needed, based on community governance requirements. The community will have the power to increase new committee members and governance modules through nomination and voting mechanisms, adapting to the evolving complexity and depth of participation within the DAO.
Note: The number of governance modules and the scope of member responsibilities will be adjusted dynamically based on the DAO’s development and community proposals.
3. Tenure and Rotation
To ensure continuity of the governance committee while allowing for its adaptability, the tenure policy includes:
1)Each committee member serves a 1-year term;
2)A mid-term rotation cycle occurs every 6 months, during which up to 50% of committee members may be replaced via community nomination and vote;
3)Remaining committee members retain their seats to ensure operational consistency;
4)There is no limit to the number of terms a committee member can serve, however, they must be renominated and re-elected each time;
5)Committee members may be removed early for misconduct or inactivity through a community proposal and successful vote.
4. HTX DAO Committee Composition
The governance committee consists of two member classes:
Community-Elected Members
Elected by HTX token holders through voting. These members represent the will of the broader community and are responsible for daily governance tasks including proposal discussions, execution, and community coordination.
Appointed Members
These members include HTX exchange leadership, early contributors, and supporters such as Justin Sun and Liuye, etc. They ensure the DAO’s core vision is preserved and provide long-term strategic guidance and resource support.
Note: In the initial phases, HTX DAO operates with a hybrid committee model that includes both community-elected and appointed committee members. This structure balances decentralization goals with stability and early-stage expertise.
III. Rationale
This committee member policy creates a foundation for scalable and participatory governance and aims to:
1)Create a responsibility framework based on modular governance;
2)Ensure clarity of roles and professionalism;
3)Encourage diverse community engagement;
4)Lay the groundwork for future expansion of governance modules and the development of an incentive system.
Note: Upon approval, this proposal will serve as the official framework for the HTX DAO committee member system. All subsequent committee elections, responsibility assignments, and module expansions will be based on and evolve from this proposal.
